Terms and Conditions
These general terms and conditions apply to all services provided by Jessica Shinnick, established in Rotterdam, Chamber of Commerce (KvK) number 63548690, hereinafter referred to as “the Practitioner”. As a member of the LVSC (Landelijke Vereniging voor Supervisie en Coaching, the Dutch National Association for Supervision and Coaching), the Practitioner subscribes to the LVSC Code of Conduct. These general terms and conditions should be read in conjunction with that Code of Conduct; in the event of any conflict, the LVSC Code of Conduct shall prevail insofar as professional and ethical conduct is concerned.
Article 1 — Definitions
- Contractor: Jessica Shinnick, trading as Jessica Shinnick Coaching & Facilitation, LVSC-registered coach and supervisor.
- Client: the natural person or organisation that enters into an agreement with the Contractor.
- Agreement: the oral or written arrangement concerning coaching, supervision, training or advice.
- Programme: the entirety of sessions as agreed, whether individual or in a group setting.
Article 2 — Applicability
These terms and conditions apply to all quotations, agreements and services of the Contractor, unless otherwise agreed in writing. By entering into an agreement, the Client declares to have taken note of and to agree with these terms and conditions.
Article 3 — Formation of the Agreement
An agreement is formed upon mutual (written or oral) confirmation of the service to be provided, the number of sessions, the fee and the method of delivery (online, on location, individual or group). Prior to the start of the programme, the Contractor discusses the working method, conditions and mutual expectations with the Client, in accordance with the LVSC Code of Conduct.
Article 4 — Performance and Professional Standards
- The Contractor performs the agreement to the best of her insight, knowledge and ability, in accordance with the LVSC Code of Conduct.
- The Contractor works on the basis of a best-efforts obligation; no result is guaranteed, as the outcome of coaching and supervision depends in part on the commitment of the Client.
- If the Client’s question falls outside the competence or field of expertise of the Contractor, this will be discussed in good time and, where necessary, the Client will be referred elsewhere.
- The Contractor actively participates in peer consultation (intervision), supervision and continuing professional development, as required by the Code of Conduct.
Article 5 — Payment
- Payment is made by invoice, payable within 14 days of the invoice date.
- In the event of late payment, the Client shall be in default by operation of law, and the Contractor is entitled to charge statutory interest and reasonable collection costs.
- If payment is not received, the Contractor may suspend the programme until the payment obligation has been met.
Article 6 — Cancelling and Rescheduling Appointments
- An appointment may be rescheduled or cancelled free of charge up to 24 hours before it is due to start.
- In the event of cancellation within this period, or failure to attend, the Contractor is entitled to charge the full session fee.
- If the Contractor is unable to attend, the appointment will be rescheduled free of charge to a new time, in consultation with the Client.
Article 7 — Confidentiality and Privacy
- The Contractor treats confidentiality as a fundamental principle and does not share information about the Client with third parties, unless with the prior written consent of the Client or where required by law.
- This duty of confidentiality may only be departed from in the cases described in the LVSC Code of Conduct, for example where there is a danger to the physical or psychological integrity of the Client or others — and even then only after consulting a fellow supervisor or coach and after informing the Client.
- Personal data is processed in accordance with the General Data Protection Regulation (GDPR). Please refer to the separate privacy statement on the website.
- In the case of coaching, supervision or peer consultation commissioned by an employer, only the findings agreed in advance are reported back, in anonymised form; the content of individual sessions remains confidential.
Article 8 — Records and Retention Period
The Contractor may keep her own notes and evaluation data for the purpose of professional accountability. In accordance with the LVSC Code of Conduct, this data will be destroyed no later than three years after the end of the programme, unless a statutory retention obligation requires otherwise.
Article 9 — Liability
- The liability of the Contractor is limited to the amount paid out in the relevant case under her professional liability insurance, plus the applicable deductible.
- If no payment is made under the insurance, liability is limited to a maximum of the invoiced amount for the assignment concerned.
- The Contractor is not liable for damage resulting from incorrect or incomplete information provided by the Client.
Article 10 — Complaints Procedure
Complaints about the performance of the agreement should preferably first be discussed directly with the Contractor. If no solution can be reached together, the Client may submit a complaint to the Disciplinary Board (College van Tuchtzaken) of the LVSC, in accordance with the applicable procedure under the LVSC Code of Conduct.
Article 11 — Intellectual Property
All material provided by the Contractor (including working methods, models, exercises and documentation) remains the property of the Contractor and may not be reproduced, published or provided to third parties without prior written consent.
Article 12 — Early Termination
Either party may terminate the agreement early, observing a reasonable notice period and after consultation. Costs already incurred and work performed up to the moment of termination will be invoiced.
Article 13 — Governing Law and Disputes
All agreements are governed by Dutch law. Disputes will preferably be resolved through mutual consultation; if this is not possible, they will be submitted to the competent court in the district in which the Contractor is established, without prejudice to the possibility of having a complaint handled through the LVSC (Article 10).
